Terms & Conditions
These Terms & Conditions (“Terms”) apply to all business customers (“you”, “your”) who purchase tree sponsorship packages or related services from Carbon Heroes Ltd (“Carbon Heroes”, “we”, “us”) via our website or any online ordering channel.
By placing an order, you agree to be bound by these Terms.
1. Who We Are
Carbon Heroes Ltd is a UK-based company that finances urban tree planting and maintenance in partnership with local authorities, and quantifies associated social value using a robust, PPN 002-aligned methodology.
Our services are intended primarily for organisations seeking to deliver and evidence environmental and community social value, including in public sector tenders.
2. Nature of Our Service
2.1 When you purchase a sponsorship package, you are making a designated funding contribution towards:
-
- Planting new trees and/or
-
- Providing aftercare or maintenance for existing trees or tiny forests in urban areas.
2.2 You do not acquire ownership of any trees or land, nor any carbon credits or offset rights. Carbon impacts are reported as environmental KPIs only.
2.3 We work with Local Authority partners and local contractors to identify suitable locations and deliver the works.
3. Orders, Packages and Pricing
3.1 Package details, prices and example impacts (e.g. “existing tree maintenance”, “new tree planting”, “tiny forest package”) are displayed on our website or proposal documents.
3.2 By submitting an online order or signed proposal, you confirm that:
-
- you are authorised to enter into this contract on behalf of your organisation; and
-
- the information you provide (billing details, company name, etc.) is accurate.
3.3 We reserve the right to accept or reject any order. If we are unable to accept your order, we will inform you and (if applicable) refund any payment taken.
4. Social Value Metrics and Certificates
4.1 How we calculate
Our Social Value Calculator uses a defined methodology that:
-
- Monetises local SME / VCSE spend (linked to the PPN 002 Social Value Model SRM 3a family);
-
- Monetises ecosystem benefits, including CO₂, air pollution removal and greenspace, using:
-
- CO₂ values taken from established external standards;
-
- greenspace values taken from established external standards; and
-
- a proprietary Carbon Heroes proxy metric for air pollution removal;
-
- Monetises ecosystem benefits, including CO₂, air pollution removal and greenspace, using:
-
- Reports the underlying environmental KPIs (e.g. tCO₂e, pollution removed, m² of greenspace) alongside monetised values; and
-
- Uses counting rules designed to avoid double-counting between monetised metrics and associated KPIs.
4.2 What you receive
For eligible packages, we will provide:
-
- A digital Certificate confirming your sponsorship; and
-
- A summary of Social Value Outputs, including both the monetised social value (£) and the underlying environmental KPIs (such as tCO₂e, pollution removed and m² of greenspace).
4.3 Limitations
All figures are estimates based on available data, established standards and proprietary metrics; they are directional, not guaranteed performance.
We cannot guarantee that any particular contracting authority will accept or score these figures in a particular way.
It is your responsibility to ensure that any claims you make in tenders or public communications are accurate, proportionate and compliant with relevant rules.
5. Use of Certificates and Communications
5.1 You may use our Certificates and metrics in:
-
- public sector tender responses;
-
- ESG, CSR and annual reports; and
-
- related marketing materials about your environmental and social impact,
-
- provided that you do so in a way that is accurate, not misleading and consistent with these Terms.
5.2 You must not:
a) Present our sponsorship as the purchase of carbon credits or offsets;
b) Claim that our sponsorship alone makes your organisation “net zero”, “carbon neutral” or similar;
c) Over-claim health, environmental or social outcomes beyond what is supported by our documentation;
d) Imply that Carbon Heroes guarantees you will win any tender or contract;
e) State or imply that the monetary valuation of air pollution removal is set, mandated or endorsed by government, an external standards body or a third-party certification scheme – it is based on a proprietary Carbon Heroes proxy metric;
f) Suggest that all monetised ecosystem values are derived from the same type of external standard, where this is not the case (for example by presenting the proprietary pollution metric as if it shared the same external standard basis as CO₂ and greenspace).
5.3 We may ask you to correct or withdraw communications that misrepresent our services or methodology.
6. Fees, Payments and Refunds
6.1 Prices are shown exclusive of VAT unless stated otherwise. VAT will be added where applicable.
6.2 Payment terms (e.g. “due on order” or “30 days from invoice”) will be specified on the order page or proposal and form part of these Terms.
6.3 Refunds
Because we commit funds quickly to local delivery partners and Local Authorities, sponsorship packages are generally non-refundable once we have accepted your order and begun allocation. Any exceptions will be clearly stated in your order or agreed in writing.
7. Delivery of Works
7.1 We will use reasonable endeavours to ensure that tree planting and maintenance activities are carried out within the indicative timeframes set out in your proposal or confirmation email, subject to seasonal, operational and Local Authority constraints (e.g. planting seasons, permissions).
7.2 In some cases, we may need to substitute locations or specific Assets (e.g. if a chosen tree site becomes unavailable). Any such changes will be within the same local geographic area and of equivalent environmental and social value.
7.3 Where works are delayed or changed for reasons outside our reasonable control, we will keep you informed and adjust delivery plans as necessary.
8. Data Protection and Evidence
8.1 We may collect and process business contact details and other personal data to fulfil your order, provide reports and operate our services. Our Privacy Notice (available on our website) explains how we do this.
8.2 Where community events or volunteering activities are included, we will ensure any participant data used for evidence (e.g. attendance lists, photos) is handled in line with data protection law and, where appropriate, anonymised or aggregated for reporting.
9. Intellectual Property
9.1 All intellectual property rights in our Calculator, methodology, reports, certificates, platform and branding belong to Carbon Heroes or our licensors. You are granted a limited licence to use them only as set out in these Terms.
9.2 You retain all intellectual property rights in your own trade marks, logos and materials.
10. Liability
10.1 Nothing in these Terms limits any liability that cannot legally be limited, such as liability for death or personal injury caused by negligence, or for fraud.
10.2 To the fullest extent permitted by law, we will not be liable for:
-
- any loss of profit, business, contracts or opportunity;
-
- any indirect or consequential loss; or
-
- any loss arising from how a contracting authority interprets or scores your social value offer.
10.3 Our total aggregate liability to you in any 12-month period will not exceed the total amount you have paid to us for sponsorship packages in that period.
11. Changes to These Terms
11.1 We may update these Terms from time to time. The version in force at the time you place an order will apply to that order.
11.2 If we make material changes that would significantly affect existing multi-year commitments, we will notify affected customers and explain the impact.
12. Governing Law
These Terms (and any dispute arising out of them) are governed by the laws of England and Wales. The courts of England and Wales will have jurisdiction in relation to any such dispute.
